Terms of Use
Effective November 1, 2025. By accessing or using the INDEXIS platform, you agree to these Terms of Use.
1. The service
INDEXIS provides a software platform that helps businesses become better represented for AI-assisted discovery. The platform maintains a Knowledge File for each business and generates AI-readable exports, AI-ready business information, and public business profiles from information submitted by the business or its Agency Partner.
2. Accounts
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You must provide accurate registration information and keep it up to date.
3. Business content
Businesses control the information they submit and are solely responsible for its accuracy, lawfulness, and right to publish. By submitting content, you grant INDEXIS a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt, publish, and distribute that content as reasonably necessary to operate the service, including generating public business profiles and AI-readable exports.
4. No guarantees of ranking or recommendation
INDEXIS helps businesses be better understood by AI systems. INDEXIS does not control search engines or AI platforms and does not guarantee that any AI platform will recommend, cite, reference, or display any particular business, nor any search-engine ranking or placement.
5. Seat Licenses and Knowledge Licenses
Access to a Business Portal and inclusion on the INDEXIS platform is granted through a Seat License funded by an annual Knowledge License. Licenses are annual, non-transferable except as expressly permitted, and automatically renew unless cancelled before renewal. Fees, renewal dates, and cancellation rules are disclosed at the point of purchase. Cancellation stops future renewals; fees already paid for the current term are non-refundable except as required by law.
6. Acceptable use
You agree not to use the platform in violation of law, submit false or misleading information, infringe intellectual property, attempt to disrupt or reverse-engineer the platform, or attempt to manipulate AI recommendations. See our Acceptable Use Policy.
7. Intellectual property
INDEXIS and its licensors own the platform, including its software, design, and trademarks. No rights are granted except as expressly set out in these terms.
8. Third-party services
The platform may integrate with third-party services (payment processors, analytics, communications). Their use is subject to their own terms and privacy policies.
9. Disclaimers
The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, INDEXIS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, INDEXIS's aggregate liability arising out of or relating to the service will not exceed the fees paid by you to INDEXIS in the 12 months preceding the claim. INDEXIS will not be liable for indirect, incidental, consequential, or punitive damages, or lost profits or business.
11. Termination
We may suspend or terminate access for any breach of these terms. Sections that by their nature survive termination will continue in force.
12. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario.
13. Changes
We may update these terms from time to time. Continued use after changes take effect constitutes acceptance.
