Terms of Use

1. The service

INDEXIS provides a software platform that helps businesses become better represented for AI-assisted discovery. The platform maintains an AI Knowledge Profile for each participating business and makes AI-readable business information and public business profiles available from information submitted, confirmed or validated by the business, or by an agency or other organization the business has authorized to act for it.

2. Accounts

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You must provide accurate registration information and keep it up to date.

By registering a business with INDEXIS, you represent that you are authorized to act on behalf of that business and to accept these Terms on its behalf.

3. Business content

Businesses control the information they submit and are solely responsible for its accuracy, lawfulness, and right to publish. By submitting content, you grant INDEXIS a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt, publish, and distribute that content as reasonably necessary to operate the service, including generating public business profiles and AI-readable exports.

Business information accuracy and responsibility

Participating businesses are responsible for ensuring that information they submit, confirm or validate through INDEXIS is accurate, complete and current at the time it is provided.

Businesses acknowledge that information about their operations may change over time, including services, products, pricing, availability, operating hours, personnel, qualifications, policies, locations and other business details.

Each participating business is responsible for notifying INDEXIS of material changes to information it has previously provided or validated, and for taking reasonable steps to correct information that becomes inaccurate or outdated. This responsibility continues after INDEXIS publishes the information.

INDEXIS may publish, organize, maintain and distribute business-provided or business-validated information in accordance with its publication policies. INDEXIS does not undertake to independently investigate, continuously monitor or guarantee the accuracy, completeness or currency of business-provided information. Publication of information by INDEXIS is not an independent verification, certification or guarantee of its accuracy.

Knowledge verification requests

INDEXIS may periodically contact participating businesses to request confirmation, correction or updating of their information. These requests are part of INDEXIS's knowledge maintenance services and do not transfer responsibility for the accuracy of information from the participating business to INDEXIS.

If a business does not respond to a verification request, that is not a confirmation that its information remains accurate. It does not create an obligation for INDEXIS to independently investigate, verify or update the information, and it does not transfer responsibility for inaccurate, incomplete or outdated business-provided information to INDEXIS.

INDEXIS may continue to display, restrict, flag, suspend or remove information in accordance with its publication and knowledge maintenance policies. INDEXIS does not guarantee that all outdated information will be identified or corrected.

Correction, restriction and removal

INDEXIS may request clarification or verification, correct information where appropriate, flag information for review, and restrict, suspend or remove publication of information that is materially inaccurate, misleading or otherwise unsuitable. These rights do not create an obligation for INDEXIS to continuously monitor every published statement.

Business content indemnification

To the extent permitted by applicable law, each participating business agrees to indemnify and hold harmless INDEXIS from third-party claims, damages, liabilities and reasonable legal expenses arising from materially inaccurate, misleading, unlawful or infringing information that the business submits, confirms or validates through the platform.

This obligation applies only to the extent the claim arises from the participating business's information or conduct. It does not require a participating business to indemnify INDEXIS for claims attributable to INDEXIS's own negligence, misconduct, unauthorized alterations or other acts or omissions for which INDEXIS is legally responsible. Any indemnification obligation is subject to applicable law.

4. No guarantees of ranking or recommendation

INDEXIS helps businesses be better understood by AI systems. INDEXIS does not control search engines or AI platforms and does not guarantee that any AI platform will recommend, cite, reference, or display any particular business, nor any search-engine ranking or placement.

Third-party AI systems and information services

INDEXIS may make eligible business information available to search engines, artificial intelligence systems and other independent information services. INDEXIS does not control how these third-party systems retrieve, interpret, summarize, reproduce, modify, display or use that information, and does not guarantee that they will accurately reproduce business information or reflect later updates.

To the maximum extent permitted by applicable law, INDEXIS is not responsible for inaccuracies, omissions or outdated information independently generated, displayed or retained by third-party systems.

INDEXIS Mentionable™

INDEXIS Mentionable™ is included with INDEXIS Business. INDEXIS may publish eligible knowledge that your business contributed or validated, and make it available in AI-readable formats, after INDEXIS review.

By registering your business, you authorize INDEXIS to identify your business as the source of that eligible knowledge in INDEXIS-controlled knowledge delivery. This is turned on by default for businesses that register under these terms. It does not replace a choice your business made earlier: if your business previously turned it off or declined it, that choice stays in place.

An Owner or Administrator can turn source identification off (or back on) at any time in Business Settings. Turning it off stops future source identification by INDEXIS. It does not remove your published knowledge, end your INDEXIS Business participation, or change your knowledge maintenance communications. It cannot remove information already retrieved, stored or used by third-party AI systems.

INDEXIS does not control whether third-party AI systems retrieve, use, mention, recommend, or cite published information, and does not guarantee AI mentions, recommendations, citations, inquiries, or any other outcome.

5. INDEXIS Business and INDEXIS Business Plus

INDEXIS Business is free. There is no subscription fee and no paid renewal, and participation does not convert to a paid plan unless an authorized person for the business chooses to purchase INDEXIS Business Plus.

INDEXIS Business Plus is an optional paid upgrade. Its price, term, billing, renewal, cancellation and refund terms are those presented to you in the Business Portal before you confirm the purchase, and form part of these Terms for that purchase. Fees already paid are non-refundable except as stated in those purchase terms or as required by law. INDEXIS Business Plus may also be provided at no charge through a partner, association or other program, on the terms communicated for that program.

Access is granted to the business and is not transferable except as expressly permitted by INDEXIS.

6. Acceptable use

You agree not to use the platform in violation of law, submit false or misleading information, infringe intellectual property, attempt to disrupt or reverse-engineer the platform, or attempt to manipulate AI recommendations. See our Acceptable Use Policy.

7. Intellectual property

INDEXIS and its licensors own the platform, including its software, design, and trademarks. No rights are granted except as expressly set out in these terms.

8. Third-party services

The platform may integrate with third-party services (payment processors, analytics, communications). Their use is subject to their own terms and privacy policies.

9. Disclaimers

The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, INDEXIS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, INDEXIS's aggregate liability arising out of or relating to the service will not exceed the fees paid by you to INDEXIS in the 12 months preceding the claim. INDEXIS will not be liable for indirect, incidental, consequential, or punitive damages, or lost profits or business.

To the maximum extent permitted by applicable law, INDEXIS will not be liable for losses, damages, claims or expenses arising from inaccurate, incomplete, misleading or outdated information supplied, confirmed or validated by participating businesses. This includes information that was accurate when provided but later became inaccurate because of changes to the business's operations, services, pricing, availability, policies or other circumstances, and situations where a business did not notify INDEXIS of material changes or did not respond to requests to review or update its information.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

11. Termination

We may suspend or terminate access for any breach of these terms. Sections that by their nature survive termination will continue in force.

12. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario.

13. Changes

We may update these terms from time to time. Continued use after changes take effect constitutes acceptance.
